Welcome to Proud TV (“the Services”). Please carefully read and accept the following terms and conditions (referred to as “the Agreement”) that apply to your use of the Services provided by Proud TV Ltd. (“Proud TV”). By using our Services, you agree to be bound by this legally binding contract between you (referred to as “Customer” or “You”) and Proud TV. This Agreement covers all transactions between the parties unless otherwise specified.

Your use of the Services indicates your understanding and acceptance of these terms. If you do not agree with any part of this Agreement, you are not permitted to use the Services.

1. Definitions

•Business day: Any day other than a Saturday, Sunday, or recognized statutory holiday in Canada.

•Networks: Refers to TV channels, content providers, and similar entities.

Under this Agreement, Proud TV grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services, including all associated payment obligations.

2. Security

Proud TV implements commercially reasonable measures to secure the Services but is not liable for any damages arising from data breaches or security incidents.

You are responsible for safeguarding all passwords and credentials associated with the Services, whether created by you or issued to you, your employees, or agents. You are also responsible for any actions performed with your credentials or accounts. Notify Proud TV immediately of any unauthorized access or security breaches involving your accounts.

3. Ownership; Proprietary Rights

All intellectual property and proprietary rights in Proud TV’s products, graphics, logos, designs, code, scripts, and service names are reserved. You may not use Proud TV’s trademarks, trade dress, or other proprietary materials in your products or websites without explicit written permission. The visual interfaces, graphics, designs, data, software, services, and all other elements of the Services are protected by applicable intellectual property laws. Except as expressly authorized by Proud TV, you may not use any of Proud TV’s proprietary works or materials.

4. Modification of the Terms

Proud TV reserves the right to modify this Agreement at any time. Revised versions will be posted on the website and, when necessary, delivered to you via email. Unless specified otherwise, modifications become effective on the date they are posted. If you disagree with any modifications, your only recourse is to discontinue using the Services.

5. Termination

Proud TV reserves the right to terminate your access to the Services at its discretion in cases of Agreement violations.

6. Applicable Law

This Agreement is governed by the laws of Canada, without regard to conflict of law principles.
